This market will resolve to “Yes” if, at any time after the creation of this market and before January 1, 2027 – 00:00 EST, BitMine Immersion Technologies (NYSE: BMNR) lists and publicly launches an exchange-traded perpetual preferred security tied primarily to its Ethereum treasury strategy on a U.S. national securities exchange.

Otherwise, this market will resolve to “No.”

For the purposes of this market:

• A qualifying instrument must:

(1) be perpetual preferred equity,

(2) be listed and actively trading on a U.S. national securities exchange,

and

(3) include a recurring cash dividend structure with either a floating, adjustable, or board-reset rate mechanism.

• “Listed and publicly launched” means the security has completed its registered public offering and has commenced public trading. Shelf registrations, S-1 filings, preliminary prospectuses, announcements, or proposed offerings without completed issuance and trading do not qualify.

• “Tied primarily to its Ethereum treasury strategy” means the instrument’s proceeds, collateral structure, stated investment mandate, or corporate purpose are primarily related to the acquisition, holding, leverage, or staking of ETH.

• Common stock ATM offerings, convertible debt instruments, staking yield products, exchange-traded funds, closed-end funds, or similar non-preferred-equity products do not qualify.

• The instrument may be issued directly by BitMine or by a BitMine-controlled subsidiary.
